Effective Date: July 1, 2025

This Agreement (“Agreement”) sets forth the general terms and conditions for the use of services (“Services”) provided by MAN IT Cloud (“MAN IT Cloud”, “MAN IT”, “we,” “us,” or “our”) to you (“Client,” “you,” or “your”). By using our Services, you agree to be bound by these Terms & Conditions, our Acceptable Use Policy (AUP), Privacy Policy, and any other policies or agreements referenced herein.

1. Acceptance of Terms

1.1. By accessing or using any of our Services, you signify that you have read, understood, and agree to be bound by all terms and conditions contained in this Agreement. 

1.2. If you do not agree to abide by these terms, you are not authorized to use or access our Services. 

1.3. MAN IT Cloud reserves the right to modify these Terms & Conditions at any time without prior notice. Any changes will be effective immediately upon posting to our website. Your continued use of the Services after such modifications constitutes your acceptance of the revised Agreement. It is your responsibility to regularly review these terms.

2. Definitions

  • Services: All web hosting services (including but not limited to Managed Business Hosting, Managed WordPress Hosting, Shared Hosting, Reseller Hosting, Managed Cloud VPS Hosting), domain registration, SSL certificates, and any other related services or products offered by MAN IT Cloud.
  • Client/You/Your: Any individual, company, or entity who purchases or uses Services from MAN IT Cloud.
  • Account: The Client’s account with MAN IT Cloud, including all associated services, billing information, and access credentials.
  • Content: Any and all data, text, software, music, sound, photographs, graphics, video, messages, or other materials and information uploaded, posted, or stored by the Client on MAN IT Cloud’s servers.
  • AUP (Acceptable Use Policy): The policy outlining prohibited uses of our Services, available at AUP page.
  • SLA (Service Level Agreement): The agreement detailing our uptime guarantees and compensation policy, available at SLA page.

3. Provision of Services

3.1. MAN IT Cloud agrees to provide the Services as described on our website and in your specific service order. 

3.2. We reserve the right to refuse service to anyone at our sole discretion. 

3.3. MAN IT Cloud will make reasonable efforts to provide uninterrupted Services. However, we do not guarantee continuous or uninterrupted Service availability, as the Services may be subject to interruptions due to maintenance, upgrades, network issues, or other factors beyond our control. 

3.4. We reserve the right to migrate your account to another server, data center, or IP address with reasonable notice if necessary for performance, security, or other operational reasons.

4. Account Registration and Information

4.1. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated. Failure to do so may result in suspension or termination of your Services. 

4.2. You are responsible for maintaining the confidentiality of your account credentials (username, password, billing information, etc.) and for all activities that occur under your account, whether authorized by you or not. 

4.3. You must notify MAN IT Cloud immediately of any unauthorized use of your account or any other breach of security. MAN IT Cloud will not be liable for any loss or damage arising from your failure to comply with this security obligation. 

4.4. You must be at least 18 years of age to purchase or use our Services.

5. Fees and Payment

5.1. All fees for Services are due in advance, according to the billing cycle selected (e.g., monthly, quarterly, annually). 

5.2. Payments are non-refundable unless otherwise stated in our Money-Back Guarantee policy. 

5.3. You agree to pay all applicable taxes, fees, and surcharges imposed by any governmental authority. 

5.4. If a payment is not received by the due date, MAN IT Cloud reserves the right to suspend or terminate your Services without notice. A late payment fee may apply.

5.5. In the event of a chargeback, your account will be immediately suspended, and all Services associated with the account will be terminated. A chargeback fee may be assessed.

5.6. Renewal of Services: To ensure uninterrupted service, we attempt to renew services automatically. It is your responsibility to ensure your payment information is up to date and that you have sufficient funds. 

5.7. Promotional offers: Any promotional offers, discounts, or free services (e.g., free domain, free SSL for one year) are valid only for the initial term of the Service and apply only to specific plans. Upon renewal, the Service will be billed at the then-current regular rate.

6. Money-Back Guarantee and Refunds

6.1. We offer a Money-Back Guarantee on specific Services, as detailed below: 

* Shared Hosting, Managed Business Hosting, Managed WordPress Hosting, Reseller Hosting: 7 day money-back guarantee for initial purchases. 

* Domain Registrations, Renewals, Transfers, SSL Certificates, Paid Support Services, Dedicated IP Addresses, and any third-party add-ons/licenses are non-refundable. 

6.2. To request a refund under the Money-Back Guarantee, you must submit a cancellation request through your client area within the specified guarantee period.

6.3. Refunds will be processed within 7-30 business days. 

6.4. The Money-Back Guarantee applies only to the initial purchase of the Services and does not apply to renewals, upgrades, downgrades, or any additional services purchased.

7. Acceptable Use Policy (AUP)

7.1. You agree to comply with our Acceptable Use Policy (AUP), which is incorporated into this Agreement by reference. The AUP outlines the types of content and activities that are prohibited on our network and servers. 

7.2. Prohibited activities include, but are not limited to: 

* Hosting or distributing illegal content (e.g., child pornography, copyrighted material without permission). 

* Spamming (sending unsolicited commercial email). 

* Phishing or engaging in identity theft.

* Distributing malware, viruses, or other harmful code. 

* Engaging in activities that compromise the security or integrity of our network or other users’ accounts. 

* Running IRC bots, torrent trackers, or other resource-intensive applications not suitable for shared environments. 

* Engaging in any activity that causes harm or annoyance to MAN IT Cloud or other internet users. 

7.3. MAN IT Cloud reserves the right to suspend or terminate Services immediately, without prior notice, for any violation of our AUP.

8. Data and Backups

8.1. You are solely responsible for maintaining backup copies of your Content. While MAN IT Cloud performs daily offsite backups [30 days Retention Period] for most managed hosting plans, these backups are for our disaster recovery purposes and are provided as a courtesy. 

8.2. MAN IT Cloud does not guarantee the availability, integrity, or completeness of backups and is not liable for any data loss, corruption, or unavailability, regardless of the cause. 

8.3. For Shared Hosting (Unmanaged) services, while server-level backups are performed, you are highly encouraged and primarily responsible for managing your own application-level backups and recovery.

8.4. We reserve the right to delete any backups after your account is terminated or suspended.

9. Intellectual Property Rights

9.1. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize MAN IT Cloud to use all Content you submit or store on our servers. 

9.2. You agree to not host any content that infringes upon the intellectual property rights (including copyrights, trademarks, patents) of any third party.

9.3. MAN IT Cloud respects the intellectual property of others and expects its users to do the same. If you believe your intellectual property rights have been infringed, please contact us at legal@manitcloud.com.

10. Resource Usage

10.1. You agree to use the Services in a manner that does not negatively affect the performance or security of our servers or network, or impact other clients. 

10.2. Specific resource limits (e.g., disk space, bandwidth, CPU, RAM, inode limits, database connections) are outlined in your chosen service plan. Exceeding these limits may result in suspension, additional charges, or a requirement to upgrade your plan. 

10.3. MAN IT Cloud reserves the right to suspend or terminate services that are found to be consuming excessive resources and adversely affecting the server stability or performance. We will endeavor to notify you first, but immediate action may be taken in critical situations.

11. Termination and Suspension

11.1. Termination by Client: You may cancel your Services at any time by submitting a cancellation request through your client area. Refunds, if any, will be processed according to Section 6. 

11.2. Termination by MAN IT Cloud: We may suspend or terminate your Services, in whole or in part, without notice and without refund, if: 

* You violate any provision of this Agreement, our AUP, or any other policies. 

* You fail to make timely payments for Services. 

* You engage in abusive conduct towards our staff or other clients. 

* Your account is found to be compromised or poses a security risk. 

* We determine, in our sole discretion, that your use of the Services is detrimental to our network or other clients. 

11.3. Effect of Termination: Upon termination, all your Content will be deleted from our servers. It is your sole responsibility to back up your Content prior to termination. MAN IT Cloud is not responsible for any data loss resulting from termination.

12. Limitation of Liability

12.1. In no event shall MAN IT Cloud, its directors, employees, affiliates, or agents be liable to you or any third party for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any lost profits or lost data, arising from your use of the Services or any content provided therein, even if MAN IT Cloud has been advised of the possibility of such damages. 

12.2. Notwithstanding anything to the contrary contained herein, MAN IT Cloud’s maximum aggregate liability to you for any cause whatsoever, and regardless of the form of action, will at all times be limited to the amount paid by you for the Services during the one (1) month period preceding the date of the claim. 

12.3. This limitation applies to all causes of action, whether in contract, tort (including negligence), or otherwise.

13. Disclaimer of Warranties

13.1. The Services are provided on an “as-is” and “as available” basis. MAN IT Cloud expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 

13.2. MAN IT Cloud makes no warranty that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that the results obtained from the use of the Services will be accurate or reliable.

14. Indemnification

14.1. You agree to indemnify, defend, and hold harmless MAN IT Cloud, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: 

* Your access to or use of the Services. 

* Your violation of this Agreement, our AUP, or any other policies. 

* Your infringement of any intellectual property or other rights of any third party. 

* Any Content you host, transmit, or otherwise make available through the Services.

15. Force Majeure

15.1. MAN IT Cloud shall not be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

16. Governing Law and Dispute Resolution

16.1. This Agreement shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles. 

16.2. Any dispute or claim arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Shariatpur, Bangladesh.

17. Severability

17.1. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.

18. Entire Agreement

18.1. This Agreement, together with our AUP, Privacy Policy, and SLA, constitutes the entire agreement between you and MAN IT Cloud regarding the use of the Services and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and MAN IT Cloud.
